Section 0. Agency non-solicitation covenant
DeskGate, Inc. is an internal workstation vendor, not a billing service and not a competing RCM shop. During any agency subscription, and for twenty-four (24) months after it ends, DeskGate will not contact, solicit, market to, or contract with the underlying healthcare providers or physician clients of a licensed billing agency or RCM partner for competing billing or prior-authorization labor. The agency keeps the client relationship and every dollar it recovers.
1. Issuer
DeskGate, Inc., a Delaware C-Corporation (File No. 10773474), with operative Swiss seat in Utzigen BE. Founders: Hans Johannes Schulte (CEO & Systems Architect) and Jolanda C. M. Wevers Schulte (Operations & Governance). Governing law: Delaware for US orders; Swiss substantive law (place of jurisdiction at the practice's seat) for Swiss orders under Schedule CH.
2. Schedule S — what is licensed
Software is licensed by named payer portal family, with zero per-case transaction metering and zero share of recovered collections.
- S-Practice (or Praxis-Desk in CH): $490 per month ($5,400/yr prepaid) or CHF 490.–/month (CHF 5'400.–/yr prepaid). One named portal family for 1 to 3 providers or coordinator seats. Zero case metering.
- S-Desk (or Zentrum-Desk in CH): $1,950 per month ($21,000/yr prepaid) or CHF 1'950.–/month (CHF 21'000.–/yr prepaid). One named portal family. Unlimited coordinators on that desk / surgery center / hospital department. Zero case metering.
- S-Agency (or Klinik & Netzwerk in CH): $4,900 per month ($54,000/yr prepaid) or CHF 4'900.–/month (CHF 54'000.–/yr prepaid). Up to three named portal families. Unlimited coordinators across multi-lane exception desks or multi-site groups. Zero case metering.
- S-Network: organization-wide multi-site access across all payer portals. $120,000 a year floor, scoped before any paperwork.
- No revenue share: DeskGate does not take a percentage of recovered or overturned claims.
First 10 desks: 30 days free on one named portal family, in exchange for one coordinator, a pre-period baseline, and a blinded ledger DeskGate may publish. The paper sits inside practice-manager, clinic-owner, or billing-director signing authority. After day 30, stop and owe nothing, or subscribe at the Schedule S price agreed before day 1.
3. Schedule I — implementation and onboarding
Implementation is $0 (CHF 0.–). Onboarding includes the extension install, the desk key, the one-page BAA (US) or Schedule CH AVV (Switzerland), and a live coordinator session.
4. What is not stored (US & Schweiz-Modus)
Chart notes, AHV numbers, and member IDs are not written to DeskGate databases. Chart facts stay in volatile side-panel memory and clear on NEW CASE or a different patient. In the US, screen reads go to Gemini on Vertex AI in project deskgate-production under the Google Cloud BAA executed 28 September 2026. In Switzerland (Schweiz-Modus), processing runs 100% locally in the browser RAM and no patient data leaves the practice browser (Schedule CH § 2). The pilot ledger stores a SHA-256 of the payer reference, never the raw reference.
5. Business associate (HIPAA) & Auftragsbearbeitung (Art. 9 DSG)
Before a live chart is read, the US practice or agency and DeskGate execute a BAA, or the Swiss practice and DeskGate execute Schedule CH (AVV Version 2.2). The client runtime on GitHub is MIT-licensed. Hosted APIs, trademarks, and business-associate / processor duties are not covered by that license.
6. Not a filed appeal
The extension docks inside the coordinator's authenticated Chrome or Edge session, quotes facts on screen into a draft, marks a silence as [MISS] / [FEHLT], and stops. Submit, File, Affirm, and Swiss WZW confirmations (Art. 32 KVG) stay strictly with the responsible person. A staged draft is not a submission. Autonomous Submit is strictly zero.
7. Schedule M — 30-day measurement
Schedule M is a 30-day measurement on one named portal family, against the desk's own written before-count of completed cases per coordinator-day. A completed case is one the coordinator submitted; the payer reference is hashed in the browser and the hash goes to the ledger. The day-30 sheet reports completed cases per coordinator-day, the share submitted without a material edit, the material-edit rate, and autonomous submits, which must stay at zero. No savings figure is claimed until that sheet exists.
Old links to a Schedule D agreement resolve here. Schedule D (a pass/fail savings guarantee, a minutes-saved SLA, and a 14-day pilot) is withdrawn and is not offered.
